Board Committees

The Board of Directors has set up the following four specialized committees to help it with its decision-making processes, as described in the rules of procedure and in the universal registration document of the Company: the Audit Committee, the Nominations Committee, the Compensation Committee, and the Strategy, Investments and Social Responsibility Committee.

Role and responsibilities of the Audit Committee

The Audit Committee helps the Board of Directors with its tasks of approving the annual financial statements of the parent company and the Group and preparing information to be communicated to Elior Group’s shareholders and the markets. It also ensures that Elior Group’s internal control and risk management systems work effectively and is responsible for monitoring the preparation and control of accounting and financial information and overseeing the statutory audit process. The Audit Committee comprises the following members:

Role and responsibilities of the Nominations Committee

The main responsibilities of the Nominations Committee are to help the Board of Directors with (i) its decisions concerning the membership structure of the management bodies of the Company and the Group. The Nominations Committee comprises the following members:

Role and responsibilities of the Compensation Committee

Role and responsibilities of the Strategy, Investments and Social Responsibility Committee

The Strategy, Investments and Social Responsibility Committee provides advice and assistance to the Board of Directors on strategic and investments matters. It also works to ensure that Elior Group’s values and commitments in terms of sustainable development and CSR are effectively taken into account in the decision-making process.
